1. Agreement to These Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Client”, “you”, or “your”) and Webbyus Technologies Private Limited (“Webbyus”, “we”, “us”, or “our”), governing your access to and use of our website, web hosting services, domain registration, the Agent Snappy platform, and any other products or services we offer (collectively, the “Services”).

By registering an account, placing an order, or using any of our Services, you confirm that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy. If you do not agree, you must not use our Services.

We reserve the right to revise these Terms at any time. Changes will be posted on this page with an updated effective date. Your continued use of the Services after any revision constitutes acceptance of the updated Terms.

2. Eligibility

To use our Services, you must be at least 18 years of age and have the legal capacity to enter into a binding agreement. By using our Services, you represent and warrant that:

Webbyus will not be liable for any loss or damage arising from your failure to protect your account credentials. We reserve the right to suspend or terminate accounts that contain inaccurate information or that have been inactive for an extended period.

4. Description of Services

Webbyus Technologies offers the following categories of services, subject to availability and the specific plan you subscribe to:

• Web Hosting: Shared, reseller, and managed hosting plans providing server space, bandwidth, and related infrastructure for your website or application.
• Domain Registration: Registration, renewal, and management of domain names through our accredited registrar partnerships, subject to ICANN policies and applicable registry rules.
• Agent Snappy Platform: An AI-powered business automation solution for WhatsApp and messaging channels, including chatbot configuration, FAQ management, and workflow automation tools.
• Additional Services: SSL certificates, email hosting, website development, and other digital services as offered from time to time.

We reserve the right to modify, suspend, or discontinue any Service at any time with reasonable notice to affected clients.

5. Acceptable Use Policy

You agree to use our Services only for lawful purposes and in compliance with all applicable local, national, and international laws and regulations. The following activities are strictly prohibited:

• Hosting, distributing, or transmitting any content that is illegal, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable
• Sending unsolicited bulk email (spam) or operating mail relay services
• Engaging in activities that consume excessive server resources and negatively impact other clients on shared infrastructure
• Attempting to gain unauthorised access to any system, network, or data
• Distributing malware, viruses, or any other malicious code
• Hosting content that infringes the intellectual property rights of any third party
• Using our Services to facilitate phishing, fraud, or identity theft
• Operating cryptocurrency mining software on our infrastructure
• Reselling or sublicensing our Services without prior written authorisation

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without refund and may be reported to relevant law enforcement authorities.

6. Payment and Billing

All fees for Services are due in advance unless otherwise specified. By subscribing to a Service, you authorise Webbyus to charge the applicable fees to your nominated payment method.

• Pricing: All prices are displayed on our website and are subject to change with reasonable notice. Applicable taxes will be added where required by law.
• Renewals: Services renew automatically at the end of each billing cycle unless cancelled before the renewal date. It is your responsibility to cancel in advance if you do not wish to renew.
• Late Payments: Failure to pay fees by the due date may result in service suspension. Accounts suspended for non-payment may incur a reactivation fee.
• Disputed Charges: Any billing disputes must be raised with our support team within 30 days of the invoice date. We will not consider disputes raised after this period.

7. Refund Policy

Webbyus Technologies offers a 7-day money-back guarantee on new web hosting plans. Refund requests must be submitted within 7 days of the initial purchase date. The following are non-refundable under any circumstances:

• Domain registration and renewal fees
• SSL certificates once issued
• Services used in violation of these Terms
• Setup fees or one-time configuration charges
• Partial billing periods or mid-cycle cancellations

Refunds are processed to the original payment method within 10 business days of approval.

8. Domain Name Registration

Domain registration services are provided subject to the policies of ICANN, the relevant registry, and our registrar partners. By registering a domain through Webbyus, you acknowledge and agree that:

• All WHOIS contact information submitted must be accurate and complete, as required by ICANN. Providing false information may result in cancellation of the domain registration.
• Your contact details will be submitted to the applicable domain registrar and may be listed in public WHOIS databases unless WHOIS privacy protection is applied.
• Domain registrations are non-refundable once processed.
• Webbyus is not responsible for the loss of a domain name due to your failure to renew on time. We will send renewal reminders as a courtesy, but the renewal obligation remains solely with you.
• Domain disputes between parties are governed by ICANN's Uniform Domain Name Dispute Resolution Policy (UDRP).

9. Intellectual Property

All content, software, branding, designs, and materials on the Webbyus website and platform — including the Agent Snappy product — are the exclusive intellectual property of Webbyus Technologies Private Limited or its licensors, protected by applicable copyright, trademark, and intellectual property laws.

You are granted a limited, non-exclusive, non-transferable licence to access and use our Services for your personal or business purposes in accordance with these Terms. You must not:

• Copy, reproduce, or redistribute our software or platform
• Reverse engineer or attempt to extract source code
• Use our trademarks or branding without prior written consent
• Create derivative works based on our products without authorisation

You retain full ownership of all content and data you upload to our platform. By hosting content with us, you grant Webbyus a limited licence to store and serve that content solely for the purpose of delivering the Services.

10. Data, Backups, and Security

While Webbyus performs periodic backups of hosting infrastructure as part of our operational procedures, we do not guarantee the availability, completeness, or timeliness of any backup. You are solely responsible for maintaining independent backups of all data, files, databases, and content hosted with us.

Webbyus will not be held liable for any data loss, corruption, or accidental deletion, whether caused by hardware failure, software error, human error, or any other cause. We strongly recommend that all clients maintain regular off-site backups of their data.

11. Uptime and Service Availability

Webbyus Technologies targets a 99.9% uptime for its hosting infrastructure. Planned maintenance windows will be communicated in advance where practicable. However, we do not guarantee uninterrupted service and will not be liable for downtime caused by:

• Scheduled or emergency maintenance
• Circumstances beyond our reasonable control (force majeure)
• Third-party network or infrastructure failures
• Client-side errors or misconfigurations
• Suspension due to a breach of these Terms or non-payment

12. Suspension and Termination

Webbyus reserves the right to suspend or terminate your account and access to any Services at any time, with or without notice, if we determine that you have:

• Violated any provision of these Terms or our Acceptable Use Policy
• Failed to pay fees when due
• Provided false or misleading information during registration
• Engaged in conduct that poses a risk to our infrastructure, other clients, or third parties

You may cancel your account at any time through your client portal or by contacting our support team. Cancellation will take effect at the end of the current billing period. Upon termination, your data may be permanently deleted from our servers after a grace period of 30 days. It is your responsibility to retrieve any data before cancellation takes effect.

13. Limitation of Liability

To the fullest extent permitted by applicable law, Webbyus Technologies Private Limited, its directors, employees, and service partners shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to your use of, or inability to use, our Services — including but not limited to loss of revenue, loss of data, loss of business, or reputational damage.

In any event, our total aggregate liability to you for any claim arising from these Terms or the Services shall not exceed the total amount you paid to Webbyus in the three (3) months preceding the event giving rise to the claim.

14. Disclaimer of Warranties

Our Services are provided on an “as is” and “as available” basis without warranty of any kind, either express or implied. Webbyus Technologies does not warrant that:

• The Services will be error-free or uninterrupted
• Results obtained from using the Services will be accurate or reliable
• Any defects in the platform will be corrected within a specific timeframe

You assume full responsibility for your use of the Services and any reliance on information or outputs produced through them.

15. Indemnification

You agree to indemnify, defend, and hold harmless Webbyus Technologies Private Limited and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of the Services or any content you host with us
• Your violation of these Terms or any applicable law
• Any claim by a third party relating to your content or your conduct

16. Third-Party Services and Integrations

Our platform may integrate with or link to third-party services, APIs, or tools. Webbyus does not control and is not responsible for the availability, accuracy, or terms of any third-party service. Your use of third-party integrations is governed by those parties' own terms and privacy policies.

17. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Sri Lanka. Any dispute arising out of or in connection with these Terms that cannot be resolved through good-faith negotiation within 30 days shall be referred to the competent courts of Sri Lanka, to whose jurisdiction both parties hereby submit.

For clients outside Sri Lanka, we encourage resolution of disputes through our support channels in the first instance before any formal proceedings are commenced.

18. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Webbyus Technologies regarding the Services and supersede all prior agreements or understandings.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
• Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. Webbyus may assign its rights and obligations at any time.
• Notices: All formal notices to Webbyus must be sent in writing to [email protected]. We may send notices to you at the email address associated with your account.
